Terms of Use

Last Updated: September 24, 2025 · Effective Date: September 24, 2025

Agreement to These Terms

These Terms of Use (“Terms”) constitute a legally binding agreement between Framebotix Holding Inc., operating the ByteHab software platform (“ByteHab,” “Company,” “we,” “our,” or “us”), and the customer, entity, or individual (“Customer,” “User,” or “you”) accessing or using the ByteHab website, APIs, software platforms, AI sales engine, developer toolsets, and related services (collectively, the “Services”).

BY ACCESSING OR USING THE SERVICES, REGISTERING AN ACCOUNT, OR CLICKING “I AGREE,” YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU ARE ENTERING INTO THESE TERMS ON BEHALF OF A COMPANY OR OTHER LEGAL ENTITY, YOU REPRESENT THAT YOU HAVE THE LEGAL AUTHORITY TO BIND SUCH ENTITY.

1. Corporate Identity & Structure

1.1 Operating Entity

ByteHab is a proprietary software platform wholly owned and operated by Framebotix Inc., a corporation organized and existing under the laws of the United States.

1.2 Scope of Services

ByteHab provides automated business development platforms, isolated developer workspaces, and an AI-driven sales and outreach engine to accelerate business scaling and technical operations.

2. Free Tier for Small & Medium Enterprises (SMEs)

2.1 SME Free License

ByteHab offers free access to core platform features and standard AI sales modules for qualifying Small and Medium-sized Enterprises (“SME Free Tier”).

2.2 Eligibility Criteria

To qualify for and maintain access to the SME Free Tier, Customer must:

  • Maintain fewer than 250 full-time equivalent (FTE) employees across all corporate affiliates;
  • Maintain annual gross revenues of less than $25,000,000 USD; and
  • Use the Services strictly for legitimate, authorized internal operational and sales purposes.

2.3 Audit & Verification

ByteHab reserves the right to verify Customer eligibility. If Customer exceeds these thresholds, ByteHab may require transition to a commercial enterprise tier upon thirty (30) days’ written notice.

2.4 Operational Limits

The SME Free Tier is subject to fair-use rate limits, including monthly API request thresholds, generative AI token quotas, and concurrency restrictions to maintain platform stability for all tenants.

3. Tenant Isolation & Developer Team Workspaces

3.1 Credentials & Security

Customer is responsible for securing all account credentials, SSH keys, personal access tokens, and API secrets. Customer must immediately notify ByteHab of any unauthorized access or breach.

3.2 Complete Project Isolation

  • ByteHab enforces strict workspace and tenant isolation.
  • Each Customer workspace, project environment, data repository, and integration operates within logically partitioned boundaries.
  • Customer agrees not to attempt to circumvent, probe, reverse, or breach tenant isolation barriers or access data belonging to other organizations.

3.3 Third-Party Integrations (GitHub & Cloud Providers)

Where Customer connects GitHub organizations, cloud infrastructure, or external CRM platforms to ByteHab, Customer grants ByteHab only the permissions required to execute requested workflows. Customer is responsible for enforcing its internal role-based access control (RBAC) across connected developer teams.

4. AI Sales Engine & Outreach Compliance

4.1 AI Outputs

The Services leverage generative artificial intelligence, probabilistic language models, and automated outreach engines (“AI Features”). ByteHab does not warrant that AI-generated suggestions, outreach drafts, or lead analytics (“AI Outputs”) will be entirely error-free or free from hallucinations.

4.2 Customer Review Obligation

Customer retains exclusive responsibility for reviewing, validating, approving, and dispatching all external communications generated via the platform.

4.3 Anti-Spam & Marketing Regulations

Customer represents and warrants that all marketing campaigns and communications dispatched via the platform comply with applicable marketing, consumer protection, and privacy laws, including the U.S. CAN-SPAM Act, the Telephone Consumer Protection Act (TCPA), Canada’s Anti-Spam Legislation (CASL), and the European Union GDPR.

5. Intellectual Property, Proprietary Algorithms & Product Ownership

5.1 ByteHab Platform & Algorithm Ownership

  • Framebotix Inc. retains exclusive right, title, interest, and intellectual property in and to the ByteHab platform, its proprietary algorithms, machine learning models, underlying software code, system architectures, APIs, workflows, databases, user interfaces, branding, and documentation.
  • Nothing in these Terms grants Customer any ownership rights in ByteHab’s underlying algorithms or technology.

5.2 Customer Product Ownership

  • Customer retains sole and exclusive ownership of Customer’s products, services, proprietary goods, software, source code, data, and offerings (“Customer Products”).
  • ByteHab and Framebotix Inc. claim no ownership, title, or patent rights over Customer Products, client lists, or private business assets submitted to or processed through the platform.

5.3 Non-Compete & Competitive Restrictions

  • Customer agrees not to use the Services, proprietary algorithms, documentation, workflows, or insights gained from ByteHab to develop, build, train, benchmark, or market a directly or indirectly competing software platform, service, or AI sales engine.
  • Customer shall not reverse engineer, decompile, disassemble, copy, scrape, or extract source code or model weights from the platform, nor assist any third party in doing so.

6. Marketing, Reference Rights & Publicity

6.1 License to Name, Logo & Assets

Customer grants ByteHab and Framebotix Inc. a worldwide, non-exclusive, royalty-free, revocable license to use Customer’s company name, trademarks, trade names, official logos, product names, publicly accessible product imagery, product video demonstrations, and published pricing solely for marketing, advertising, and promotional purposes related to ByteHab.

6.2 Clear Product Attribution

ByteHab explicitly acknowledges and agrees that in all marketing, promotional campaigns, or case studies, Customer Products will be presented strictly as Customer’s own products and intellectual property, and never as products built, manufactured, or owned by ByteHab or Framebotix Inc.

6.3 Promotional Media & Customer References

ByteHab may:

  • Feature Customer as an active user and reference partner in customer showcases, case studies, website portfolios, and investor presentations;
  • Produce, edit, and publish promotional video content, social media materials, webinars, and audio-visual demonstrations featuring Customer’s name, logo, and public product details to demonstrate the capabilities of the ByteHab platform; and
  • Reference Customer’s success metrics or operational improvements achieved through ByteHab to prospective clients.

6.4 Revocation of Marketing Rights

Customer may opt out or request the removal of future promotional materials featuring its branding by providing thirty (30) days’ written notice to info@bytehab.com. Upon receipt, ByteHab will cease creating new promotional materials using Customer’s marks and remove existing digital assets where commercially practicable.

7. Disclaimer of Warranties

7.1 “As-Is” Provision

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES, PLATFORM MODULES, DOCUMENTATION, AND AI FEATURES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

7.2 Exclusions

FRAMEBOTIX INC. DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, COMPLETELY ERROR-FREE, OR FREE FROM DATA DRIFT OR LATENCY.

8. Limitation of Liability

8.1 Consequential Damages Waiver

TO THE FULLEST EXTENT PERMITTED UNDER APPLICABLE LAW, NEITHER FRAMEBOTIX INC., NOR ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, OR LICENSORS, SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY.

8.2 Aggregate Liability Ceiling

  • For SME Free Tier Users: IN NO EVENT SHALL FRAMEBOTIX Holding INC.’S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THESE TERMS EXCEED ONE HUNDRED UNITED STATES DOLLARS ($100.00 USD).
  • For Paid Accounts: IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY EXCEED THE TOTAL AMOUNTS ACTUALLY PAID BY CUSTOMER TO FRAMEBOTIX INC. FOR THE BYTEHAB SERVICES DURING THE TWELVE (12) MONTH PERIOD PRECEDING THE CLAIM.

9. Term, Suspension & Termination

9.1 Term

These Terms remain in effect until terminated by either party.

9.2 Suspension & Immediate Termination

ByteHab reserves the right to suspend or terminate account access immediately, without prior liability, if:

  • Customer violates Section 2 (SME Eligibility), Section 3 (Tenant Separation), Section 4.3 (Marketing Compliance), or Section 5.3 (Non-Compete);
  • Customer’s conduct threatens platform security, integrity, or network availability; or
  • Required by court order, statutory regulation, or law enforcement.

9.3 Effect of Termination

Upon termination, Customer’s right to access the Services ceases immediately, all active API tokens are invalidated, and access to platform workspaces is revoked.

10. Governing Law, Dispute Resolution & Delaware Jurisdiction

10.1 Governing Law

These Terms, and all claims, controversies, or causes of action (whether in contract, tort, or statute) arising out of or related to these Terms, shall be governed by, and enforced in accordance with, the laws of the State of Delaware, United States, without giving effect to conflict of law principles.

10.2 Exclusive Forum

The parties agree that any dispute, legal suit, action, or proceeding arising out of or relating to these Terms or ByteHab shall be instituted exclusively in the Court of Chancery of the State of Delaware (or, if the Court of Chancery lacks subject matter jurisdiction, the United States District Court for the District of Delaware or the Superior Court of the State of Delaware, New Castle County). Each party irrevocably submits to the exclusive personal jurisdiction of such courts and waives any objection to venue or forum non conveniens.

10.3 Waiver of Jury Trial

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY IRREVOCABLY WAIVES ALL RIGHT TO A TRIAL BY JURY IN ANY PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES.

11. Modifications to Terms, Policies & Services

11.1 Right to Amend

Framebotix Inc. reserves the right, at its sole discretion, to modify, update, replace, or amend these Terms, platform policies, operational guidelines, and service features at any time.

11.2 Notice of Modifications

Notice of material modifications will be provided through commercially reasonable channels, including:

  • Posting the amended version directly on the ByteHab platform or website and updating the “Last Updated” / “Effective Date” at the top of these Terms;
  • Sending an email notification to the administrative email address associated with Customer’s account; or
  • Displaying a prominent in-app notification or click-through prompt upon Customer’s next workspace login.

11.3 Effective Date

Modified Terms become effective immediately upon posting or on the designated effective date stated in the notification.

11.4 Deemed Acceptance

By continuing to access, log in to, or use the ByteHab Services or APIs following the effective date of any modifications, Customer explicitly agrees to be bound by the revised Terms.

11.5 Customer Remedy
